Job Description

This is an 18 Month Contract.
 
The Legal Counsel will be responsible for providing legal advice and assistance to AmerisourceBergen’s Canadian business activities, keeping the business within the limits prescribed by law and corporate policy. AmerisourceBergen’s legal associates have an important impact on business operations by protecting the Company’s interest from a legal perspective, as represented by the accuracy of advice given and propriety of decisions made on the Company’s behalf. The position will report directly to the Chief Canadian Counsel and will be based at the headquarters of Innomar/ABSG Canada in Oakville, Ontario.
 
PRIMARY DUTIES AND RESPONSIBILITIES:
 
  • Prepares, reviews and/or negotiates commercial contracts, including confidentiality agreements; patient assistance programs; supplier contracts;  physician and clinic contracts; licenses; and insurance to ensure that they accurately express the Company's objectives.
  • Responsible for clinic leasing matters including working with Senior Law Clerk and managing external counsel.
  • Responsible for legal support of Company’s distribution and warehousing activities (including third party logistics).
  • Responsible for legal support of HealthForward business including drafting and negotiating insurer and network pharmacy agreements including privacy, compliance and regulatory support.
  • Responsible for privacy matters generally.
  • Appraises and keeps management and the broader AmerisourceBergen Legal Department informed about the impact of legislative, judicial, and regulatory developments affecting the policies and operations of AmerisourceBergen in Canada.
  • Anticipates and guards against legal risks involving the Company.
  • Coordinates with subject matter experts in the AmerisourceBergen Legal Department (including the ABSG Legal Department) on contracts, litigation, employment and labor law, real property, technology, and other areas of law as appropriate.
  • Liaises and manages external law firms.
  • Provides legal input as required in business development meeting projects and preparation of tenders.
  • Performs related duties as assigned.

Job Requirements

EXPERIENCE AND EDUCATIONAL REQUIREMENTS:
 
Law Degree - must be a graduate of an accredited law school and admitted into a Provincial bar of a common law jurisdiction, three-six years of experience gained either through a reputable law firm or major corporation.
 
MINIMUM SKILLS, KNOWLEDGE AND ABILITY REQUIREMENTS:
 
  • Significant prior experience in the field of contract law.
  • Well-developed knowledge of corporate law, litigation and contract negotiation and preparation.
  • Well-developed time management skills and ability to manage multiple objectives.
  • Ability to work independently but judgment to determine when additional support is required.
  • Ability to communicate effectively both orally and in writing.
  • Strong interpersonal skills.
  • Excellent judgment and ability to resolve complex issues effectively.
  • Strong negotiating skills.
  • Ability to be solution-oriented and business-minded.
  • Strong organizational skills; attention to detail.
  • Ability to follow and interpret legal trends.
  • Knowledge of Microsoft Word, Excel and PowerPoint.
  • Working knowledge of Canadian pharmaceutical environment would be an asset, but is not required.
  • Strong interest in privacy law
  • Bilingualism an asset but not required.
