Job Description

Innomar Strategies, a company of AmerisourceBergen is seeking a Chief Canadian Counsel. The Chief Canadian Counsel will be Innomar Strategies senior Canadian attorney, responsible for the Innomar Strategies, Health Forward and Cameron Stewart businesses (collectively, Innomar).  Innomar, a leading service provider in the Canadian specialty pharmaceutical market, delivers an array of services, including consulting, patient support programs, clinics and nursing services, and pharmacy and distribution services.  The Chief Canadian Counsel will serve both as a leader of the Innomar legal team and as a working attorney.   The Chief Canadian Counsel position will be based at Innomar’s headquarters in Oakville, Ontario.

PRIMARY DUTIES AND RESPONSIBILITIES:

  • Responsible for providing and/or overseeing the delivery of legal services for all Innomar businesses.
  • As a member of the Leadership Team for Innomar, participates in strategic decision making, risk analysis and review of new service offerings.
  • Prepares, reviews and negotiates contracts with customers, vendors, consultants and other third parties, including contracts providing for distribution services, warehousing, third party logistics, pharmacy and clinical services, reimbursement services, regulatory consulting, market assessment and data reporting.
  • Provides counsel on Canadian-specific health law and other regulatory issues, including regulations pertaining to pharmacies, Health Canada issues and privacy.
  • Leads Innomar legal team, including a Senior Counsel, Senior Law Clerk and the Manager, Ethical Wall & Internal Documents.
  • Supports key negotiations, including C-level meetings with key clients.
  • Supports mergers, acquisitions and other strategic transactions.
  • Oversees and manages the work of outside counsel engaged to provide assistance on commercial matters and works with subject matter experts in the AmerisourceBergen Legal Department to jointly oversee the work of Canadian law firms engaged to handle specialized matters, including litigation and employment and labor law.
  • Manages Canadian trademark portfolio and other intellectual property matters.
  • Handles, coordinates with and/or assists on litigation, employment and labor law, real estate and information technology matters, working with subject matter specialists within the AmerisourceBergen Legal Department or outside counsel.
  • In conjunction with the corporate security and regulatory affairs team, supports implementation, interpretation and enforcement of AmerisourceBergen’s compliance program and Code of Conduct.
  • Serves as Innomar’s Privacy Officer, and, in such capacity, provides legal support of all privacy-related matters; drafts policies and procedures; and manages issues relating to the collection, use or storage of personal information.
  • Advises on the impact of legislative, judicial and regulatory developments affecting Innomar.
  • Performs other related duties, as needed
  • Some travel required.

Job Requirements

Requires a minimum of seven (7) to ten (10) years progressively responsible and directly related experience in practicing law. Must be a graduate of an accredited Canadian, Commonwealth or U.S. law school and admitted to practice law in Canada, preferably in either Ontario or Quebec. Significant training in corporate and commercial practice with a well-regarded law firm is required. Significant experience in contract drafting and negotiating as well as business counseling is required. Experience with Canadian pharmaceutical and healthcare law and regulations required. Significant experience advising senior level executives is preferred. In-house experience, experience with Quebec law and practice, and experience with provincial healthcare laws and regulations a plus.
